- Prices are typically quoted on FOB Shenzhen or other agreed Incoterms unless otherwise stated.
- Payment terms (e.g., T/T, L/C) will be clearly defined in the Proforma Invoice or Sales Contract.
- All payments must be made in the agreed currency, free from deductions, bank charges, or withholding taxes.
5. Production and Delivery
- Lead times vary depending on order quantity and product specifications; estimated timelines will be confirmed in writing.
- Delivery terms follow the agreed Incoterms. We are not responsible for delays caused by shipping agents, customs clearance, or force majeure events.
- Risk of loss or damage passes to you once goods are handed over to the carrier or shipping agent.
6. Warranty and After-Sales Support
- Our products are covered by a standard 3 to 5-year warranty, depending on the model and agreement.
- The warranty covers manufacturing defects but does not apply to damages caused by misuse, improper installation, accidents, or natural disasters.
- We provide technical support, replacement parts, or product repair based on the specific case.
7. Intellectual Property
- All designs, product specifications, and technical drawings remain the intellectual property of DEL ILLUMINATION CO., LTD.
- OEM/ODM projects remain subject to separate confidentiality and IP agreements.
8. Limitation of Liability
- We are not liable for indirect, incidental, or consequential damages, including loss of profits, arising from the use of our products or services.
- Our maximum liability is limited to the contract value of the goods purchased.
9. Governing Law and Jurisdiction
- These Terms and Conditions shall be governed by and construed in accordance with the laws of China, unless otherwise specified in the Sales Contract.
- Any disputes shall be resolved through friendly negotiation. If unresolved, disputes shall be submitted to arbitration in Shenzhen, China.
